1. Acceptance of Terms

These Terms of Use ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and the developer of App Store Connect Manager ("we," "us," or "our"). These Terms govern your access to and use of the App Store Connect Manager application ("App," "Application," or "Service").

By accessing or using our Application, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you are using the Application on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

2. Description of Service

App Store Connect Manager is a macOS application designed to help developers manage their App Store Connect metadata, including but not limited to:

• Managing app titles, subtitles, and descriptions across multiple languages
• Editing keywords and promotional texts for App Store Optimization (ASO)
• Generating and translating app metadata using artificial intelligence (AI) services
• Uploading metadata changes directly to App Store Connect via the official API
• Managing metadata across multiple platforms (iOS, macOS, tvOS, visionOS)

3. Eligibility and Account Requirements

3.1 Age Requirements

You must be at least 18 years of age or the age of legal majority in your jurisdiction to use this Application. By using this Application, you represent and warrant that you meet these age requirements.

3.2 Apple Developer Account

To use this Application, you must have a valid Apple Developer account and access to App Store Connect. You are responsible for:

• Maintaining the confidentiality of your Apple Developer credentials
• Ensuring your use of App Store Connect complies with Apple's Developer Program License Agreement
• All activities that occur under your Apple Developer account when using this Application

3.3 API Key Security

The Application requires you to provide App Store Connect API credentials. You acknowledge and agree that:

• You are solely responsible for the security of your API keys
• API credentials are stored locally on your device using the macOS Keychain
• You should only use API keys with the minimum necessary permissions
• We are not responsible for any unauthorized access resulting from compromised credentials

4. Third-Party Services

4.1 Google Gemini AI Integration

The Application integrates with Google's Gemini AI services for text generation and translation features. By using these features, you agree to:

• Google's Terms of Service and AI Principles
• Provide your own Gemini API key
• Accept responsibility for any content generated using AI services
• Review and verify all AI-generated content before publishing to App Store Connect

We do not guarantee the accuracy, quality, or appropriateness of AI-generated content. AI-generated content may contain errors, inaccuracies, or inappropriate material. You are solely responsible for reviewing and approving all content before submission to Apple.

4.2 Apple App Store Connect API

The Application interacts with Apple's App Store Connect API. Your use of this functionality is subject to:

• Apple's Developer Program License Agreement
• App Store Connect API Terms of Use
• Apple's App Store Review Guidelines

5. Acceptable Use Policy

5.1 Permitted Use

You may use the Application solely for lawful purposes and in accordance with these Terms. You agree to use the Application only to manage apps and content for which you have proper authorization.

5.2 Prohibited Activities

You agree NOT to:

• Use the Application to violate any applicable laws, regulations, or third-party rights
• Attempt to gain unauthorized access to any systems or networks connected to the Application
• Use the Application to distribute malware, viruses, or other harmful code
• Reverse engineer, decompile, or disassemble the Application
• Remove, alter, or obscure any proprietary notices from the Application
• Use the Application for any fraudulent or deceptive purposes
• Submit content that infringes intellectual property rights of others
• Use AI features to generate content that violates Apple's App Store Guidelines
• Automate the Application in ways that violate API rate limits or terms of service
• Share your API credentials or allow others to access the Application using your credentials

6. Intellectual Property Rights

6.1 Application Ownership

The Application, including all content, features, and functionality, is owned by us and is protected by international copyright, trademark, patent, trade secret, and other intellectual property laws. These Terms do not grant you any rights to our trademarks, service marks, or logos.

6.2 Your Content

You retain all rights to the content you create, upload, or manage through the Application. By using the Application, you grant us a limited, non-exclusive license to process your content solely for the purpose of providing the Service.

6.3 Feedback

If you provide feedback, suggestions, or ideas about the Application, you grant us the right to use such feedback without any obligation to compensate you.

7. Privacy and Data Protection

Your privacy is important to us. Please review our Privacy Policy, which explains how we collect, use, and protect your information. By using the Application, you consent to our data practices as described in the Privacy Policy.

7.1 Data Processing

The Application processes the following types of data:

• App Store Connect API credentials (stored locally in Keychain)
• Gemini API credentials (stored locally in Keychain)
• App metadata you choose to manage through the Application
• AI-generated content created during your use of the Application

7.2 Data Transmission

When using the Application, data is transmitted to:

• Apple's App Store Connect servers (for metadata management)
• Google's Gemini API servers (for AI features)

8. Disclaimers and Limitation of Liability

8.1 "As Is" Provision

THE APPLICATION IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. WE SPECIFICALLY DISCLAIM ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

8.2 No Guarantee of Results

We do not guarantee that:

• The Application will meet your specific requirements
• The Application will be uninterrupted, timely, secure, or error-free
• AI-generated content will be accurate, appropriate, or effective for ASO purposes
• Your app metadata will be approved by Apple
• The Application will be compatible with all versions of macOS or App Store Connect

8.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

• Loss of profits, data, or business opportunities
• App rejection or removal from the App Store
• Damage to your Apple Developer account standing
• Any unauthorized access to your accounts or data
• Interruption or cessation of the Service

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE APPLICATION, IF ANY.

9. Indemnification

You agree to indemnify, defend, and hold harmless us and our affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use of the Application
• Your violation of these Terms
• Your violation of any rights of another party
• Content you create, upload, or manage through the Application
• Your violation of Apple's Developer Program License Agreement

10. Modifications to the Application and Terms

10.1 Application Updates

We reserve the right to modify, suspend, or discontinue the Application (or any part thereof) at any time without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Application.

10.2 Terms Updates

We may update these Terms from time to time. We will notify you of any material changes by updating the "Last Updated" date at the top of these Terms. Your continued use of the Application after such changes constitutes your acceptance of the new Terms.

11. Termination

We may terminate or suspend your access to the Application immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination:

• Your right to use the Application will immediately cease
• You must delete all copies of the Application from your devices
• Provisions of these Terms that should survive termination shall survive

12. Governing Law and Dispute Resolution

12.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of Germany, without regard to its conflict of law provisions.

12.2 Dispute Resolution

Any dispute arising out of or relating to these Terms or the Application shall be resolved through good-faith negotiations. If the dispute cannot be resolved through negotiation, it shall be submitted to binding arbitration in accordance with the rules of the German Institution of Arbitration (DIS).

13. General Provisions

13.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding the Application and supersede all prior agreements and understandings.

13.2 Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

13.3 Waiver

Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision.

13.4 Assignment

You may not assign or transfer these Terms or your rights under these Terms without our prior written consent. We may assign our rights and obligations under these Terms without your consent.
